These Website Terms and Conditions (“Terms”) govern your access to and use of the website operated by Don’t Tell Comedy, Inc., a California corporation, including its subsidiaries and affiliates (collectively, “Don’t Tell Comedy,” “Company,” “we,” “us,” or “our”). By accessing or using the website (the “Site”), you (“User,” “you,” or “your”) agree to be bound by these Terms. Please read them carefully before using the Site.

Acceptance of Terms

By accessing, browsing, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of the Site. Your continued use of the Site following the posting of any changes to these Terms constitutes acceptance of those changes.

Description of Services

Don’t Tell Comedy promotes and organizes live comedy shows at various locations across the United States, Canada, the United Kingdom, and certain European Union countries. Through the Site, users may browse upcoming events, view show details, purchase tickets, sign up for notifications, and interact with other features and functionalities made available by the Company from time to time (collectively, the “Services”). The Company reserves the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

Eligibility

The Site and Services are intended for users who are at least eighteen (18) years of age. By using the Site, you represent and warrant that you are at least 18 years old, or, if you are between 13 and 18 years of age, that you have obtained the consent of a parent or legal guardian to use the Site. We do not knowingly collect personal information from children under the age of thirteen (13). If we learn that we have collected personal information from a child under 13, we will take steps to delete such information promptly.

Age eligibility for Site use does not guarantee eligibility for show attendance. The Site will specify age eligibility for each show. See Event Age Requirements set forth in these Terms.

User Accounts and Security

The Company uses reasonable technical and organizational measures to protect the security of the Site and your information. However, no method of transmission or storage is completely secure, and the Company does not guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.

Certain features of the Site may require you to create an account. When registering for an account, you agree to: provide accurate, current, and complete information during the registration process; maintain and promptly update your account information to keep it accurate, current, and complete; maintain the security and confidentiality of your login credentials and not share your account with any third party; accept responsibility for all activities that occur under your account; and notify the Company immediately of any unauthorized use of your account or any other breach of security.

The Company reserves the right to suspend or terminate your account at any time, for any reason, including if the Company reasonably believes that you have violated these Terms.

Ticket Purchases and Payments

General. All ticket purchases made through the Site are subject to availability. The Company reserves the right to limit the number of tickets purchased per person or per transaction. A confirmed purchase constitutes a binding agreement between you and the Company for attendance at the applicable event.

Pricing and Currency. Prices are displayed and charged in the currency designated for the market in which the event takes place — for example, USD for events in the United States, CAD for events in Canada, GBP for events in the United Kingdom, and EUR for events in participating Eurozone markets. The applicable currency is identified at checkout before you complete your purchase, and the amount shown there is the amount you will be charged. Prices are subject to change without notice, but a change will not affect an order you have already completed.

The price displayed is the total price for the ticket, inclusive of all mandatory service and processing fees. Applicable taxes are included in the displayed price where required by law in the relevant jurisdiction and are otherwise added and itemized at checkout.

If the currency of your payment method differs from the currency in which the event is priced, your card issuer, bank, or payment provider will convert the charge at a rate it determines and may impose a foreign transaction or currency conversion fee. We do not set, control, or receive any portion of those rates or fees. Any converted or estimated amounts shown outside of checkout are for convenience only; the amount presented at checkout in the event's designated currency governs.

Refunds, where applicable, are issued in the original transaction currency and in the original transaction amount. Because of exchange rate movement and third-party conversion fees, the amount credited to your account in your home currency may differ from the amount originally debited. We are not responsible for that difference.

Payment Processing. Payments are processed through third-party payment processors. By submitting payment information, you represent and warrant that you are authorized to use the designated payment method. The Company does not store your complete payment card information and is not responsible for errors or failures of third-party payment processors.

Refunds, Cancellations, and Exchanges. Tickets may be refunded up to twenty-four (24) hours before the listed show time, unless otherwise stated on the applicable event page. Tickets are not eligible for refund within twenty-four hours of showtime except where the event is canceled by Don’t Tell Comedy. Subject to availability, Don’t Tell Comedy may also permit ticket holders to transfer their order to another future event of equal value or obtain credit in the amount of purchase.

In the event that the Company cancels an event, ticket holders will receive a full refund or credit at the Company’s discretion. Requests for exchanges or refunds due to scheduling conflicts or other personal reasons are not guaranteed and will be evaluated on a case-by-case basis at the Company’s sole discretion. The Company reserves the right to modify its refund and cancellation policies at any time.

Event Changes. The Company reserves the right to change event dates, times, venues, and performers without prior notice. In the event of a material change, the Company will use reasonable efforts to notify ticket holders via the email address associated with their purchase.

Event Age Requirements. Unless otherwise stated on the applicable event page, Don’t Tell Comedy events are intended for guests of drinking age (21+ in the U.S., 18+ in Canada and UK). At certain events, guests who are at least 18 years of age may be admitted when accompanied by a parent or legal guardian, provided that the venue permits admission of guests under-age. Age requirements may vary by event and venue policy. Guests may be required to present a valid government-issued photo ID upon entry. Don’t Tell Comedy and the venue reserve the right to deny admission to any guest who does not satisfy the applicable age requirements.

Intellectual Property

All content, materials, and elements displayed on or available through the Site, including but not limited to text, graphics, logos, trademarks, service marks, images, audio, video, software, and the overall design and arrangement thereof (collectively, “Content”), are the exclusive property of Don’t Tell Comedy or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content solely for personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content on the Site without the prior written consent of the Company, except as permitted by applicable law.

Feedback

If you provide the Company with any suggestions, ideas, improvements, or other feedback (“Feedback”), you acknowledge and agree that the Company may use such Feedback without restriction or compensation to you. You hereby assign all rights in the Feedback to the Company.

DMCA Notice

If you believe that any Content on the Site infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing our designated agent with the following information in writing:

(a) identification of the copyrighted work claimed to have been infringed;

(b) identification of the allegedly infringing material and its location on the Site;

(c) your contact information;

(d) a statement that you have a good‑faith belief that the use is not authorized;

(e) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner; and

(f) your physical or electronic signature.

User Conduct

You agree not to use the Site for any purpose that is unlawful or prohibited by these Terms. Without limiting the foregoing, you agree not to: use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site; use any robot, spider, scraper, or other automated means to access the Site for any purpose without the Company’s express written permission; attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site; use the Site to transmit any viruses, malware, or other harmful or disruptive code; engage in any conduct that restricts or inhibits any other user from using or enjoying the Site; use the Site to harvest or collect email addresses or other personal information of other users; impersonate any person or entity or misrepresent your affiliation with any person or entity; engage in any activity that constitutes fraud or that violates any applicable local, state, national, or international law or regulation; or resell, transfer, or distribute tickets purchased through the Site without the Company’s prior written consent.

Third-Party Links and Services

The Site may contain links to third-party websites, applications, or services that are not owned or controlled by the Company. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. The inclusion of any link does not imply endorsement, approval, or recommendation by the Company. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any such third-party websites or services. We strongly encourage you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

Disclaimers and Limitation of Liability

Disclaimer of Warranties. THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED ON OR THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DON’T TELL COMEDY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (I) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE; (III) ANY CONTENT OBTAINED FROM THE SITE; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Indemnification

You agree to indemnify, defend, and hold harmless Don’t Tell Comedy, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or in connection with: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) your negligent or wrongful conduct. The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with the Company’s defense of such claims.

Privacy

Your use of the Site is also governed by our Privacy Policy, which is available on the Site and incorporated herein by reference. See: DTC - Multistate Privacy Policy. The Privacy Policy describes how we collect, use, share, and protect your personal information. By using the Site, you consent to the collection and use of your information as described in the Privacy Policy. Please review the Privacy Policy carefully before using the Site.

SMS and Marketing Communications

By providing your telephone number or opting into the Company’s marketing communications, loyalty programs, or financial incentive programs (such as those offering coupons, discounts, or free merchandise in exchange for your personal information), you consent to receive marketing and promotional communications from the Company, including via SMS/text message, email, and other electronic means.

You may opt out of marketing communications at any time by clicking the “unsubscribe” link in any marketing email; replying “STOP” to any SMS/text message received from the Company; or contacting us at info@donttellcomedy.com.

Standard message and data rates may apply to SMS communications. Opting out of marketing communications will not affect transactional communications related to your ticket purchases or account.

Governing Law and Dispute Resolution

Governing Law. These Terms and any disputes arising out of or relating to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

International Use. The Site may be accessed from countries outside the United States. Users who access the Site from outside the United States are responsible for compliance with all local laws. The Company makes no representation that the Site or Services are appropriate or available for use in any particular jurisdiction.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by The American Arbitration Association pursuant to its Consumer Arbitration Rules and Procedures. The arbitration shall take place in Los Angeles County, California. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Unless both you and the Company agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.

Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Additionally, claims arising in small claims court that are within the court’s jurisdiction may be brought in such court in lieu of arbitration.

Force Majeure

The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, weather events, natural disasters, pandemics, epidemics, government orders, labor disputes, power outages, venue closures, performer illness, or other events of a similar nature. In such circumstances, the Company may cancel, postpone, or modify an event or the Services without liability, and any refunds or credits will be issued at the Company’s sole discretion.

Changes to Terms

The Company reserves the right to modify, amend, or update these Terms at any time in its sole discretion. Any changes will be effective immediately upon posting the revised Terms on the Site with an updated “Effective Date.” Your continued use of the Site after the posting of revised Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically. If you do not agree with the modified Terms, you must discontinue your use of the Site.

Termination

The Company may, in its sole discretion, terminate or suspend your access to all or any part of the Site at any time, with or without cause, with or without notice, effective immediately. Without limiting the foregoing, the Company may terminate or suspend your access if you breach any provision of these Terms. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Severability and Entire Agreement

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, and the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

Entire Agreement. These Terms, together with the Privacy Policy and any other legal notices or policies published by the Company on the Site, constitute the entire agreement between you and the Company regarding your use of the Site and supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral, relating to the subject matter hereof.

Waiver. The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by the Company.

Assignment. You may not assign or transfer these Terms or your rights or obligations hereunder, in whole or in part, without the prior written consent of the Company. The Company may assign these Terms at any time without notice or consent. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
